1. Acceptance of the Terms of Use

These Terms of Use are entered into by and between you—the adult educator, entity, or authorized representative who creates an account with us—and Tatek, Inc. ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of www.tatek.ai and app.tatek.ai, including any content, functionality, and services offered on or through them (the "Website" or "Service"), whether as a guest or a registered user.

This is a binding agreement. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound by these Terms of Use, our Website Privacy Policy, our Children's Privacy Policy (COPPA/FERPA), and our Copyright DMCA Policy, each incorporated herein by reference.

If you do not agree to these Terms of Use or the referenced policies, you must not access or use the Website.

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to disputes already pending or for which the parties had actual notice prior to the posted change.

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to review this page periodically so you are aware of any changes, as they are binding on you.

3. Accessing the Website and Account Security

4. Registration and Use with Minors

Tatek is directed to educators (adults) for use with their students. By creating an account, educators confirm they have obtained all required parental consent before creating student accounts or assigning student work. Educators are solely responsible for compliance with COPPA, FERPA, and applicable local regulations.

5. Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Tatek, Inc., its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms of Use permit you to use the Website for your personal, non-commercial educational use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

Temporary copies in RAM incidental to your access.
Files automatically cached by your browser.
One copy of a reasonable number of pages for personal, non-commercial use.
Applications or social media features provided by us, subject to their terms.

No right, title, or interest in the Website or its content is transferred to you, and all rights not expressly granted are reserved by Tatek.

6. Trademarks

10. Copyright Infringement

If you believe any materials violate your copyright, please see our Copyright DMCA Policy for instructions. Repeat infringers' accounts may be terminated.

11. Payments, Fees, and Renewals

Prices are in U.S. dollars (USD).
Payments are processed through Stripe.
Taxes are your responsibility.
Subscriptions renew automatically unless canceled before the renewal date.
All sales are final unless otherwise stated; refunds are at Tatek's sole discretion.
You remain responsible for charges accrued prior to cancellation.

12. Geographic Restrictions

Tatek is operated from the United States. We make no representation that the Website is accessible outside the U.S. Users outside the U.S. access at their own risk and must comply with local laws.

13. Disclaimer of Warranties

The Website and Services are provided "as is" and "as available" without warranties of any kind. Tatek disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, Tatek shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of goodwill, or data, arising from your use of the Website.

16. Governing Law and Jurisdiction

These Terms are governed by Delaware law. Any disputes shall be resolved in state or federal courts in Delaware, except where arbitration applies. You waive objections to jurisdiction and venue.

17. Dispute Resolution and Arbitration

Good faith negotiation is required before litigation.
If unresolved, disputes under $100,000 may proceed to mediation.
Disputes may be submitted to binding arbitration with JAMS under Delaware law.
No class actions; arbitration must be individual.

18. Limitation on Time to File Claims

Any claim must be filed within 180 days of accrual, unless tolled during mediation/arbitration.

19. Waiver and Severability

No waiver is effective unless in writing. If any provision is invalid, the remainder remains in effect.

20. Entire Agreement

These Terms, along with the Privacy Policy, Children's Privacy Policy, and Copyright DMCA Policy, constitute the entire agreement between you and Tatek.
